Auxilius AI Features Terms

These AI Features Terms ("AI Terms") supplement and form part of the Software-as-a-Service Subscription Agreement, including its Data Processing Addendum ("DPA"), between Auxilius, Inc. ("Auxilius") and the customer that enables the AI Features ("Customer"). Capitalized terms not defined here have the meaning given in the Agreement. The Agreement and DPA remain unchanged and continue to govern, including all processing of Customer Data.

  1. AI Features. "AI Features" means Auxilius product capabilities that use machine learning or generative AI models to assist Customer's users, including Close IQ. Auxilius will describe each AI Feature and its purpose in product documentation and will provide reasonable prior notice of a new AI Feature or of a material change to how an existing AI Feature processes Customer Data.
  2. How AI Features process data. AI Features operate on Customer Data solely to generate outputs delivered back to Customer within the Service — for example, narrative summaries that direct reviewers to high-materiality items during financial close. AI Features are part of the Service, and this processing occurs for the purpose of providing the Service under the Agreement and DPA.
  3. Model provider; no third-party access. AI Features run on third-party foundation models hosted within Auxilius's cloud infrastructure environment (currently Anthropic's Claude models via Amazon Web Services' Amazon Bedrock service). Customer Data submitted to the models is processed within that environment; the model provider does not receive, access, retain, or train on Customer Data. Amazon Web Services remains Auxilius's sub-processor for this processing, and the model provider is not a sub-processor.
  4. No model training. Auxilius does not use Customer Data to train, fine-tune, or improve any foundation model, and does not permit the model provider to do so.
  5. Human oversight. AI Features are decision-support tools. Outputs are advisory, and a qualified member of Customer's team retains final authority over all review conclusions and financial figures. Auxilius's financial figures remain deterministic, rules-based, and auditable; AI Features do not generate them.
  6. Nature of outputs. AI-generated outputs may be incomplete or inaccurate and may vary for the same inputs. Customer is responsible for reviewing outputs before relying on them. AI Features are part of the Service, and outputs remain solely subject to any disclaimers of warranty applicable to the Service under the Agreement.
  7. Acceptance. AI Features are off by default. Customer accepts these AI Terms by enabling an AI Feature or by requesting that Auxilius enable it, whichever occurs first, effective as of the enablement date. These AI Terms are incorporated into and form part of the Agreement with Auxilius.
