Auxilius AI Features Terms

These AI Terms ("AI Terms") supplement and form part of the Software-as-a-Service Subscription Agreement, including its Data Processing Addendum ("DPA"), between Auxilius, Inc. ("Auxilius") and the customer party to that agreement ("Customer"). Capitalized terms not defined here have the meaning given in the Agreement. The Agreement and DPA remain unchanged and continue to govern, including all processing of Customer Data.

  1. AI Features. "AI Features" means Auxilius product capabilities that use machine learning or generative AI models to assist Customer's users. Auxilius will describe each AI Feature and its purpose in product documentation and will provide reasonable prior notice of a new AI Feature or of a material change to how an existing AI Feature processes Customer Data.
  2. How AI Features process data. AI Features operate on Customer Data solely to generate outputs delivered back to Customer within the Service, in two capacities: (a) analytical and narrative outputs — for example, narrative summaries that direct reviewers to high-materiality items during financial close; and (b) suggested configuration — proposed mappings, classifications, or settings presented to Customer's users for review, for example during onboarding, change order intake, or vendor estimate processing. No AI-generated value is applied to Customer's environment or relied upon downstream unless a Customer user reviews and accepts it. AI Features are part of the Service, and this processing occurs for the purpose of providing the Service under the Agreement and DPA.
  3. AI-assisted service delivery. Auxilius personnel may use approved AI tools to support the ingestion, normalization, and preliminary mapping of Customer Data — for example, procedure names, procedure codes, and associated contracted costs — for the purpose of configuring and maintaining Customer's environment. Such Customer Data shall not include sensitive data, protected health information, subject-level records, or subject-identifying information. All output under this Section is preliminary and subject to Auxilius review and Customer confirmation before it is applied to Customer's environment or relied upon downstream. Sections 4 and 5 apply to this use.
  4. Model provider; no third-party access. AI Features run on third-party foundation models hosted within Auxilius's cloud infrastructure environment (currently Anthropic's Claude models via Amazon Web Services' Amazon Bedrock service). Customer Data submitted to the models is processed within that environment; the model provider does not receive, access, retain, or train on Customer Data.
  5. No model training. Auxilius does not use Customer Data to train, fine-tune, or improve any foundation model, and does not permit the model provider to do so.
  6. Human oversight. AI Features are decision-support tools. Outputs are advisory, and a qualified member of Customer's team retains final authority over all review conclusions and financial figures. Auxilius's financial figures remain deterministic, rules-based, and auditable; AI Features do not generate them. AI-suggested configuration takes effect only upon Customer's acceptance and is thereafter processed by the same deterministic logic as manually entered configuration.
  7. Nature of outputs. AI-generated outputs may be incomplete or inaccurate and may vary for the same inputs. Customer is responsible for reviewing outputs before relying on them. AI Features are part of the Service, and outputs remain solely subject to any disclaimers of warranty applicable to the Service under the Agreement.
  8. Availability and opt-out. AI Features are made available as part of the Service. Customer may opt out of AI Features, or of the use described in Section 3, at any time by written notice to Auxilius, and Auxilius will disable the applicable processing within thirty (30) days. Features or functionality that depend on the affected processing will not be available to Customer following an opt-out, and opting out of Section 3 may extend implementation and configuration timelines and turnaround times for ongoing data ingestion and mapping performed by Auxilius.
